Welcome to the OEMS – Designed to Amaze platform, owned by AMG Quality Services LLC. By accessing and using this platform, you agree to comply with the following terms and conditions. Please read them carefully before using our services.

1. Intellectual Property Rights

All content, designs, graphics, text, images, trademarks, and authorized copies of the OEMS-Designed to Amaze application, including the source application developed using the Knack.com platform and other platforms, are the exclusive property of AMG Quality Services LLC (AMGQS). These materials are protected by copyright, trademark, and other intellectual property laws globally, including in the United States of America.

Any unauthorized use, reproduction, distribution, or modification of this material is strictly prohibited without prior written consent from AMGQS. Violators may be subject to legal action under applicable intellectual property laws worldwide.

AMGQS retains title to and ownership of the Software, including any authorized copies, and all enhancements, modifications, revisions, and updates of the Software. All right, title, and interest in this application, as well as any materials hosted on the application (including all software, formulas, pages, database tables, and resulted data model), belong solely to AMGQS.

AMGQS reserves the right, at any time and without liability or prior notice, to change the features or characteristics of this application for purposes of improvement. AMGQS retains exclusive ownership of all worldwide copyrights, trademarks, service marks, trade secrets, patent rights, moral rights, property rights, and all other industrial rights related to the Software and associated documentation, including any derivative works, modifications, updates, and enhancements thereto.

All authorized adjustments, modifications, or customizations made to the OEMS-Designed to Amaze system are not considered “work for hire.” Any alterations performed by our team remain the intellectual property of AMG Quality Services and are carried out under the terms of our service agreement. As such, any use, reproduction, or distribution of these adjustments is subject to the rights and written permissions granted by AMG Quality Services.

2. Use of Platform

The OEMS – Designed to Amaze platform is intended for lawful use only. Users must not engage in any activities that may harm or disrupt the platform, infringe on the rights of others, or violate any applicable laws or regulations. Users are prohibited from using the platform for any unauthorized or illegal purposes, including but not limited to the transmission of harmful or illegal materials.

AMG Quality Services LLC, established in the State of Texas, USA, hereby grants Licensees, authorized users, and their users a revocable, non-exclusive, non-assignable, and non-transferable limited license to access and use the Software posted on the dedicated domain, strictly for business, non-commercial purposes and in accordance with the terms outlined in the Terms of Service.

By login to the OEMS-Designed to Amaze through any interface, you acknowledge that you agree to abide by its terms and conditions. If you do not agree to the terms of this Agreement, you are advised to refrain from using the Application. Any use of the Application without agreement to these terms is strictly prohibited.

This license does not confer any ownership rights in the Software, and AMG Quality Services LLC retains all right, title, and interest in the Software, including any modifications, updates, or enhancements. AMG Quality Services LLC reserves the right to revoke this license at any time without prior notice in the event of any breach of this Agreement or for any other reason it deems appropriate.

3. Warranties

The information and services provided on the OEMS – Designed to Amaze platform are offered “as is” without any warranties of any kind, either express or implied. AMG Quality Services LLC does not guarantee the accuracy, completeness, or reliability of any content added by users available on the platform. Users assume all risks associated with the use of the platform and its content.

4. Limitation of Liability

AMG Quality Services LLC shall not be liable for any damages arising from the use or inability to use the platform, including but not limited to direct, indirect, incidental, consequential, or punitive damages. This limitation applies to all claims, whether based on warranty, contract, use, termination of service, tort, or any other legal theory, and whether or not AMG Quality Services LLC has been informed of the possibility of such damages.

5. Third-Party Links

The OEMS-Designed to Amaze platform may contain links to third-party websites or services. AMG Quality Services LLC is not responsible for the content or privacy practices of these external sites. Accessing third-party links is at the user’s own risk. Users should review the terms and conditions of any third-party websites before using them.

6. Changes to the Terms of Service

AMG Quality Services LLC reserves the right to modify this disclaimer at any time without prior notice. Continued use of the OEMS-Designed to Amaze platform following any changes constitutes acceptance of the revised terms. Users are encouraged to review the disclaimer periodically to stay informed of any updates.

7. Governing Law

This disclaimer and any disputes related to the use of the OEMS-Designed to Amaze platform shall be governed by the laws of State of Texas, USA, without regard to its conflict of law principles. Any legal actions or proceedings arising out of or related to this platform must be brought in the courts located in Harris County, Texas.

8. Service Suspension

AMG Quality Services LLC reserves the right to suspend access to The OEMS – Designed to Amaze software platform in the event of non-payment according to agreed-upon payment terms. If payment is not received as scheduled, AMG Quality Services LLC will issue written notification of the outstanding balance. Should payment remain unsettled after seven (7) business days from the date of notice, access to the software and associated services may be suspended until all outstanding payments have been received and cleared.
